1. Agreement to Terms

Welcome to TherapyNeed! These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “User,” or “Therapist”) and Tourpraha s.r.o. (“TherapyNeed,” “we,” “us,” or “our”) governing your access to and use of the website therapyneed.com and all associated services (collectively, the “Platform”).

By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. Description of the Service

TherapyNeed provides an online platform to help users find and connect with independent mental health professionals (“Therapists”). Our services include a directory of Therapists, search functionalities, and tools to facilitate initial contact.

IMPORTANT DISCLAIMER: TherapyNeed is NOT a healthcare provider.

  • We do not provide medical advice, diagnosis, or treatment. The Platform is an informational resource and is not a substitute for professional medical or psychological advice from a qualified provider.
  • We do not endorse any specific Therapist. Any information provided about Therapists is for informational purposes only. You are solely responsible for selecting and vetting a suitable Therapist.
  • Therapists are independent contractors, not employees or agents of TherapyNeed. We are not responsible for the professional services, conduct, or advice of any Therapist. All therapy services are provided directly by the Therapist to the User, and any therapeutic relationship is strictly between you and your chosen Therapist.

3. User Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use our Platform. By using the Platform, you represent and warrant that you meet this requirement.

3.2 Account Creation

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or otherwise suspect any security breaches related to the Platform.

3.3 Therapist Accounts

Therapists wishing to be listed on the Platform must provide accurate and verifiable information regarding their professional qualifications, licenses, and areas of practice. We reserve the right, but not the obligation, to verify these credentials. Therapists are solely responsible for ensuring their listings are accurate and up-to-date.

4. User Responsibilities and Prohibited Activities

As a user of the Platform, you agree not to:

  • Use the Platform for any illegal or unauthorized purpose or engage in, encourage, or promote any activity that violates these Terms.
  • Misrepresent your identity or credentials, or impersonate any person or entity.
  • Use the Platform to send spam, unsolicited messages, or advertisements.
  • Harass, threaten, stalk, or defame any other person or entity.
  • Use any data mining, robots, or similar data gathering or extraction methods to scrape or collect data from the Platform.
  • Attempt to gain unauthorized access to our systems, user accounts, or data.
  • Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful.
  • Reverse engineer, decompile, or disassemble any aspect of the Platform.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Platform, including its text, graphics, images, logos, software, and all other materials (“Platform Content”), is the property of Tourpraha s.r.o. or our licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use.

5.2 User Content

If you post or submit any content to the Platform (e.g., reviews or messages), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to any content you submit.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, secure, or free of errors, viruses, or other harmful components.

WE DO NOT SCREEN, ENDORSE, GUARANTEE, OR WARRANT THE QUALITY, QUALIFICATIONS, OR SERVICES OF ANY THERAPIST LISTED ON THE PLATFORM. ALL INTERACTIONS AND COMMUNICATIONS BETWEEN YOU AND A THERAPIST ARE SOLELY AT YOUR OWN RISK. YOU ARE RESPONSIBLE FOR CONDUCTING YOUR OWN DUE DILIGENCE.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOURPRAHA S.R.O., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR EMOTIONAL DISTRESS, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE PLATFORM.
  • ANY SERVICES, ADVICE, OR CONDUCT OF A THERAPIST YOU CONNECT WITH THROUGH THE PLATFORM.
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED ONE HUNDRED EUROS (€100).

7. Indemnification

You agree to defend, indemnify, and hold harmless Tourpraha s.r.o. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

8. Termination

We may, in our sole discretion, suspend or terminate your access to or use of the Platform at any time and for any reason, including for a violation of these Terms, without prior notice or liability. You may terminate your account at any time by contacting us at support@therapyneed.com.

Provisions that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Prague, Czech Republic. Before filing a claim, you agree to try to resolve the dispute informally by contacting us first.

10. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TherapyNeed regarding the Platform.
  • Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the new Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after any such change constitutes your acceptance of the new Terms.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
